What is the differance between the two. I have Win. XP service pac 3 installed. which one should I use?

I presume you mean 1.2.6 and 1.3.9

1.3.9 has now been superseded by 1.3.10 (1.3.11 is due out soon).

1.2.6 is the old (very old) final release of the 1.2.x line.
1.3.10 is the latest version of the 1.3.x line.

1.3.x has many improved features over the old 1.2.x version and on modern computers it is recommended over the old version.

For WinXP SP3 I would recommend using the most current version of Audacity 1.3
