As you can see from http://manual.audacityteam.org/man/tuto ... ation.html you may not be able to remove vocals unless they are in the middle of the stereo field. If it is a popular song you may be able to buy a karaoke version of the song or find it on YouTube.

Drag-select the area of the waves you want to fade out using your mouse, then Effect > Fade Out (assuming you want a simple uncustomizable fade out).

Audacity ships with MP3 import support, but not MP3 export support, due to licensing issues.
